These Terms of Service (“Terms”) govern your access to and use of the PriceDock platform at pricedock.io (“the Service”), operated by PriceDock B.V., registered in the Netherlands (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- “Account” means the workspace you create to access the Service, including all users, data, and configuration within it.
- “Your Data” means product catalog data, pricing rules, integration credentials, and any other information you upload to or generate within the Service.
- “Competitor Data” means publicly available pricing, stock, and product information collected from third-party websites by the Service on your behalf.
- “Matched Product” means a link between one of your products and a competitor listing, established through automated matching (EAN, image recognition, or text similarity) or manual confirmation.
2. Acceptance of Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.
3. Account Terms
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials, including API keys and integration tokens.
- You must notify us immediately of any unauthorized access to your account.
- One organization may not maintain more than one free account.
- You must be at least 18 years old to use the Service.
4. Description of the Service
PriceDock provides competitive pricing intelligence, including:
- Automated collection of publicly available competitor pricing and stock data from third-party websites
- AI-powered product matching using image recognition, structured identifiers (EAN, GTIN, ASIN, MPN), and text similarity
- Dynamic pricing rules and automated repricing via integrations with e-commerce platforms (Shopify, WooCommerce)
- Marketplace feed monitoring (Amazon, Bol.com, Google Shopping, Idealo)
- Analytics, alerting, and data export via feeds and API
Competitor Data is collected from publicly accessible web pages. We do not access password-protected areas, circumvent technical access restrictions, or violate the terms of service of third-party websites.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws, including competition law and data protection regulations
- Attempt to gain unauthorized access to other accounts, systems, or non-public areas of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use Competitor Data for purposes other than your own legitimate business pricing decisions
- Resell, sublicense, or redistribute access to the Service or its data without our written consent
- Use automated means to access the Service beyond the provided API and documented rate limits
- Upload malicious code, attempt to reverse-engineer the Service, or extract the underlying algorithms or models
6. Fees and Payment
Certain features require a paid subscription. Fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are exclusive of VAT unless stated otherwise.
We reserve the right to change pricing with 30 days' notice. Price changes take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel before the new cycle begins.
Refunds are not provided for partial billing periods. If you cancel mid-cycle, you retain access until the end of the paid period.
7. Free Trial
We may offer a free trial period. At the end of the trial, your account is downgraded to a limited free tier unless you subscribe to a paid plan. We do not charge you without explicit consent. No payment details are required to start a trial.
8. Data Ownership and License
You retain full ownership of Your Data. We do not claim any intellectual property rights over your product catalog, pricing rules, or integration credentials.
You grant us a limited, non-exclusive license to process Your Data solely for the purpose of providing the Service. This includes generating image embeddings from your product images for matching purposes, syncing data with connected platforms on your behalf, and storing historical pricing data for analytics.
We do not use Your Data to train machine learning models, share it with other customers, or sell it to third parties.
9. Competitor Data and Accuracy
Competitor Data is collected on a best-effort basis from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of Competitor Data. Prices, stock levels, and product availability may change between collection and your review.
Product matches generated by AI (image recognition, text similarity) are probabilistic. Matches below the auto-approval confidence threshold are presented for your manual review. You are responsible for verifying matches before using them to drive pricing decisions.
10. Confidentiality
We treat Your Data as confidential. This includes product catalogs, cost prices, pricing strategies, margin data, and integration credentials. We do not disclose this information to third parties except as necessary to provide the Service (e.g., syncing prices to your connected Shopify store) or as required by law.
11. Intellectual Property
The Service, including its design, source code, AI models, matching algorithms, and documentation, is owned by PriceDock B.V. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as described.
12. Limitation of Liability
To the maximum extent permitted by Dutch law, PriceDock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from:
- Your use of or inability to use the Service
- Any unauthorized access to or alteration of Your Data
- Pricing decisions made based on Competitor Data or product matches provided by the Service
- Inaccuracies in Competitor Data, incorrect product matches, or delays in data collection
- Actions taken by third-party platforms (Shopify, WooCommerce, Amazon) in response to data sent by the Service on your behalf
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold PriceDock B.V. harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
You may cancel your account at any time through the account settings. We may suspend or terminate your access if you violate these Terms, with notice where practicable.
Upon termination, your right to use the Service ceases immediately. We retain Your Data for 30 days after termination to allow for export, after which it is permanently deleted. Integration credentials are deleted immediately upon termination. Data retention required by law (e.g., invoicing records) is maintained separately.
15. Service Availability
We target 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance is announced at least 24 hours in advance. We are not liable for downtime caused by factors beyond our reasonable control, including third-party platform outages, DNS failures, or force majeure events.
16. API Usage
Access to the PriceDock API is subject to rate limits defined per plan. API keys are confidential and must not be shared publicly. We reserve the right to throttle or suspend API access if usage patterns indicate abuse or risk to platform stability.
17. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms shall be submitted to the competent court in Amsterdam, the Netherlands. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
18. Changes to These Terms
We may update these Terms from time to time. Material changes are communicated by email or through a notice in the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree with the changes, you may cancel your account before the effective date.
